ioReign terms of service
These terms are a contract between you and us. Please read them. They are written in plain English on purpose.
1. Who we are
ioReign is run by McAlpine Cyber and AI Pty Ltd (ACN 701 577 862, ABN 43 701 577 862), based in Sydney NSW, Australia. In these terms "we", "us" and "our" mean that company.
"You" means the business or organisation that signs up for ioReign, and the person who accepts these terms for it. By accepting, that person confirms they can bind the business.
ioReign is for businesses. It is not for personal, family or household use. You must be at least 18 to accept these terms.
2. The documents that make up our deal
Our deal is these terms plus:
- the privacy policy, which says how we handle personal information;
- the data processing agreement (DPA), which covers personal information inside your content;
- while ioReign is in beta, the beta terms.
If they conflict, the beta terms win, then the DPA, then these terms.
3. The service
ioReign is a coding platform built for software agents. It hosts your Git repositories and gives your agents an API, a command-line tool and an MCP server to work with them. What the beta includes, and what is not ready yet, is listed in the beta terms and our docs.
We may improve and change the service. If a change breaks the API in a way your agents would notice, we tell you at least 14 days before it takes effect. We may make a change sooner only if we must, to fix a security problem or to comply with the law. If so, we tell you as soon as we can.
4. Your account, your owners and your agents
- An owner is a person you nominate to run your account. Owners sign in with a passkey. Keep owners' devices and passkeys safe.
- Agents are software that acts for you, using identities and tokens that your owners issue. Everything your agents do with your tokens is done for you. You are responsible for it, as if you had done it yourself.
- Give each agent only the access it needs. Revoke tokens you no longer use. If you think a token or passkey has leaked, revoke it or pull your kill switch, and tell us at security@ioreign.ai.
- Keep your account details, including your billing contact, up to date.
5. Acceptable use
You must not use ioReign, or let your agents use it, to:
- break any law, or store or share illegal content, including child sexual abuse material;
- infringe anyone's intellectual property or privacy;
- store or spread malware, except inert samples kept for genuine security research and clearly labelled;
- attack, scan, overload or break into any system or network, including ours;
- mine cryptocurrency;
- try to reach another customer's data, or get around our limits, caps, billing or security controls;
- send spam or run phishing;
- resell or give access to ioReign to others without our written OK.
You may test ioReign's security only under our disclosure policy on the security page. Report what you find to security@ioreign.ai.
6. Your content
- You own your content: your code, repositories, tickets, policies, audit records and anything else you or your agents put into ioReign.
- You give us a licence to store, copy, process and transmit your content only to run the service for you, to keep it secure, and to meet the law. We do not use your content to train AI models, and we do not sell it.
- You confirm you have the rights to put your content into ioReign.
- Export any time. You can export your content at any time while your account exists, including during grace, read-only and the 30-day window after you cancel, except while your kill switch is on or your account is suspended.
- Keep your own copy of anything important. ioReign is in beta (see the beta terms).
7. Fees and payment
- The Starter plan is US$79 a month, for up to 20 concurrent agents and 100 GB of storage. Other plans, if offered, are priced on our website or in a quote.
- Prices are in US dollars and exclude taxes. Australian GST is added if it applies; we don't add other countries' taxes. Any tax is shown on your invoice.
- You pay monthly in advance by card through Stripe. Card details go to Stripe, never to us.
- Caps are hard caps: when you reach a limit, extra use is refused with a clear error. We do not bill you for going over.
- We may change prices with at least 30 days' notice by email. A new price applies from your next billing period after the notice ends. You may cancel before then.
8. Late payment
If a payment fails:
- You have a 7-day grace period while Stripe retries. Everything keeps working.
- After 7 days your account becomes read-only. Your agents can still read and export, revoke tokens and use the kill switch, but cannot write.
- Paying the overdue amount restores full access.
- If payment still isn't made after Stripe's retries, or your subscription ends because a payment failed or was reversed, or ends while a payment is overdue (including if you cancel then), your account stays read-only for 60 days. We email you at the start and on day 53. After that, the deletion process in section 9 applies. The beta terms (section 8) set out the full rule.
9. Cancelling and deletion
- You may cancel any time in the billing portal. Your account becomes read-only when the cancellation takes effect.
- After cancelling you have 30 days to export your content. We delete your account and content not earlier than 30 days after cancellation, unless a legal or dispute hold applies, and we record that the deletion happened. Copies in our providers' short-term recovery systems expire after that within a limited period (see the privacy policy).
- If you want your content deleted sooner, an owner can ask for it from the console, confirming with their passkey at the time of the request. If no owner can sign in, we use our full account-recovery checks instead: a call-back to the phone number you gave us, a notice to every owner and your billing contact, and then a wait of at least 48 hours in which any owner can stop it. We never act on an email or phone call alone. We then check each request ourselves before we act, because deletion cannot be undone.
- We keep billing records as the law requires (see the privacy policy).
- Unless the law says otherwise, we do not refund part-months.
10. Suspension and kill switches
- Your owners can pull your kill switch at any time. It stops all agent activity in your account within seconds (under 10 seconds); a request already running may finish.
- We may suspend all or part of your account, or pull its kill switch, if we reasonably believe:
- you or your agents are breaking section 5;
- there is a security threat to you, to us or to other customers;
- the law requires it.
- We tell you why, as soon as we can, unless the law or a security reason stops us. We lift the suspension once the problem is fixed.
- Non-payment is handled by section 8, not by suspension.
11. Ending the contract
- You can end it by cancelling (section 9).
- We can end it with 30 days' notice by email. If we do, you get the same 30 days to export, and we refund fees you paid for time after the end date.
- We can end it sooner if you seriously breach these terms and, where it can be fixed, you don't fix it within 14 days of our notice.
- Sections 6 (ownership), 9 (deletion), 12, 13 and 15 continue after the contract ends.
12. Australian Consumer Law
Nothing in these terms excludes, restricts or changes any right or remedy you have under the Australian Consumer Law or any other law that cannot be excluded. These are called non-excludable guarantees.
Where the law lets us limit our liability for breaching a non-excludable guarantee, our liability is limited, at our choice, to supplying the services again or paying the cost of having them supplied again.
13. Our liability
Subject to section 12:
- We provide ioReign with due care and skill. Apart from that, and any guarantee the law implies and won't let us exclude, we give no other promises about the service. In particular, while it is in beta, we do not promise it will be uninterrupted or error-free.
- Our total liability to you for all claims under or about these terms is capped at the fees you paid us in the 12 months before the event that caused the claim.
- We are not liable for loss of profit, revenue, business or goodwill, or for indirect or consequential loss.
- These limits do not apply to liability that the law does not allow us to limit, such as liability for fraud.
- You are liable for claims against us caused by your content or by you or your agents breaking section 5.
14. Changes to these terms
We may update these terms. For a change that is against your interests, we email your owners at least 14 days before it takes effect. If you don't agree, you can cancel before then and the old terms apply until your account ends. Each version is dated and numbered, and we record which version your owners accepted.
15. General
- These terms are governed by the law of New South Wales, Australia. Both of us accept the jurisdiction of its courts.
- If a dispute comes up, please email us first. We will try in good faith to resolve it within 30 days before either of us goes to court.
- We send notices to your owners' email. You send notices to legal@ioreign.ai.
- Neither of us is liable for a delay caused by events beyond our reasonable control. Your payment obligations still apply.
- You may not transfer this contract without our written OK. We may transfer it to a business that takes over ioReign, and we will tell you if we do.
- If a part of these terms can't be enforced, the rest still applies.
- These documents are the whole agreement between us about ioReign.
